Kevin Burns

Kevin Burns has over 20 years of experience in advising clients on tax and financial matters, provides transactional planning to high net worth individuals, private equity groups and private companies, and facilitates tax-efficient structuring of their investments.

Kevin focuses on providing integrated tax planning for sales transactions from pre-sale planning to post-sale reinvestments. He advises sellers on structuring to achieve tax-efficient divestitures, enhancing purchase price through stepped-up basis techniques, maximizing the value of inherent tax attributes, implementing reverse due diligence, planning for pre-sale repatriations and identifying tax-deferred reinvestment opportunities.

Kevin also advises buyers on structuring and due diligence matters. Specifically, he consults on tax matters such as determining the appropriate debt-equity mix, implementing foreign hybrid and domestic passthrough structures, identifying the tax impact of contingent liabilities and contingent consideration, enhancing the use of net operating loss and foreign tax credit carryforwards and analyzing the tax treatment of transaction costs. He has consulted on domestic and cross-border transactions ranging from $20 million to $1 billion in enterprise value in the manufacturing, distribution and business services industries.

Before joining WTAS, Kevin was a Tax Partner in an international professional services firm.
